KVAKOZAWR TERMS OF SERVICE
GENERAL

Clients may contact Kvakozawr Studio members via social media with questions about potential projects, but should understand that inquiries may be redirected to @kvakozawrstudio.
All payments must be made in advance in US dollars.
The client must maintain communication to ensure continuous progress until the project delivery date. If the client refuses to communicate for more than 7 days, Kvakozawr Studio has the right to continue working without the client's participation. Kvakozawr Studio may terminate or discontinue the project if no response is received within 14 days.
Direct contact with studio members via social media regarding the project during its implementation is considered a violation that may result in termination of cooperation. All communication records must be kept accessible to the studio to ensure transparency for all parties.
All results must be downloaded by the client within 7 days of project completion.
The client must properly credit Kvakozawr Studio and the relevant service providers as the creators of the order (by mentioning Kvakozawr Studio and the relevant service providers in social media descriptions).
The order will be closed 7 days after mutual approval of the final result (unless the project involves further cooperation, such as a vtuber model). Any additional changes requested after the project is closed will be considered on a case-by-case basis.

Client must take into consideration that Kvakozawr Studio may not respond immediately. Please allow a response time of 1-3 working days.
Kvakozawr Studio and the Client may terminate this agreement at any time by sending written notice to the other party.
Upon such termination, the compensation agreement and degree of termination shall be as follows:
- Non-completion. If Kvakozawr Studio has not yet commenced work on the project, Kvakozawr Studio agrees to pay the Client full compensation, less any transaction fees that are not subject to compensation by Kvakozawr Studio.
- Partial completion. If Kvakozawr Studio has partially completed the project, the client agrees to pay Kvakozawr Studio compensation of not less than 25% to 75% of the total compensation amount, less any transaction fees, based on the results of the discussion and depending on the degree of progress of the project. Kvakozawr Studio will provide partially completed results (in the form of unfinished work files). The client must continue to comply with all terms and conditions set forth in the service agreement in connection with the partial completion of the project.
- Full completion. If Kvakozawr Studio has completed the project at the time of cancellation, the client agrees to pay Kvakozawr Studio full compensation. Kvakozawr Studio will provide the client with all completed work results. The client must continue to comply with all terms and conditions set forth in the service agreement in connection with the full completion of the project.
Kvakozawr Studio does not allow the submission of plagiarized works or works created using artificial intelligence as reference materials or resources for creating finished products.
All Kvakozawr Studio products come with a commercial license by default (excluding illustrations, emotes, stickers, and panels.)
A. Standard commercial license.
- Use. Use for advertising purposes on social networks and streaming platforms.
- Non-transferability. The client does not have the right to transfer or resell the results of the work provided by Kvakozawr Studio.
- Changes. Significant changes by the client or a third party are prohibited without the permission of Kvakozawr Studio.
- Non-exclusivity. The results of the work remain the intellectual property of Kvakozawr Studio.
B. Extended Commercial License.
Includes the standard commercial license, but with additional rights to use the work for the production of digital and physical goods.
- Additional fee. The extended commercial license adds an additional fee (50% - 200%) to the cost of the work.

Limited Slots
- The client should be aware that access to services is limited: the waiting list system applies only to certain types of services, depending on the availability of Kvakozawr Studio team members in the specific month of service provision.
Reservation fee
- To guarantee the period of work on the project as agreed by the parties, the client undertakes to make an additional payment of 10% of the total cost of the project. The reservation fee must be paid within 3 days of confirmation. In case of delay or refusal to pay, the reservation will be canceled, and Kvakozawr Studio reserves the right to terminate cooperation with the client.
Reservation Cancellation
- If the client cancels the booking or shows negligence confirmed by Kvakozawr Studio, the booking fee is non-refundable. At the same time, Kvakozawr Studio reserves the right to cancel the client's booking at any time, but in this case, it undertakes to refund the booking amount on terms agreed with the client.
Kvakozawr Studio confirms that any personal or commercial information received from the client is considered strictly confidential and is not subject to disclosure.
All parties undertake to keep such information confidential and use it exclusively for legal or archival purposes.
Public Use of the Project
- Kvakozawr Studio reserves the right to publish information about the work process and demonstrate the results of the project on social networks, streaming platforms, and in portfolios, unless otherwise provided by a non-disclosure agreement (NDA).
Non-Disclosure Agreement (NDA)
- If the client requires complete confidentiality regarding all interim and final results, they agree to pay an additional fee for the conclusion of an NDA in the amount of 50% of the project cost. The agreement comes into force from the moment of the first public disclosure of the results by the client and guarantees Kvakozawr Studio the right to promote the final product without conflicting with the client's interests.
